Organisation of the Holding

LIAN is organised as a holding company with a single centralised team at the holding level. All personnel are employed by LIAN and perform holding-level functions; none is embedded in, seconded to, or employed by any subsidiaries, associated companies and participations of LIAN. Each company has its own management team, which retains full responsibility for running its business.

The holding-level team is structured around the functions required to identify and assess opportunities, to monitor value development across the holdings, and to operate LIAN itself. It is led by the two co-founders, with Fiorenzo Manganiello as Chief Executive Officer, and comprises four functions:

Corporate development
With roles such as Acquisition Director, Business Development, and Head of Growth, these employees are responsible for identifying, evaluating and executing acquisitions and shareholdings, and for identifying growth opportunities in respect of existing subsidiaries, associated companies and participations.

Capital markets and finance
With roles such as Managing Director Capital Markets, Directors of Capital Markets, and Finance Controller, these employees are responsible for raising debt and equity, managing LIAN's capital structure, overseeing financial reporting, and measuring and monitoring the fair value of each subsidiary, associated company and participation.

Legal
With roles such as General Counsel and senior associates, these employees cover corporate, transactional and governance matters.

Corporate functions
With roles such as Chief Operating Officer, Growth Director, Marketing Lead, and Operations Assistant, these employees cover LIAN's own operations, communications and investor-facing activity, and will support investor relations and reporting obligations.

The holding-level team activities are directed at LIAN's own corporate, financing and governance requirements: identifying and executing acquisitions, arranging financing, measuring and monitoring the fair value of each holding, and exercising governance rights through board representation.

Performance is assessed and reported to LIAN's key management on a fair value basis. Where a company in which LIAN holds an interest benefits from this support, it does so through strategic advice and support provided at board and shareholder level on a needs basis; day-to-day operational management, hiring, product and service delivery and customer relationships remain entirely with that company's own management team. LIAN does not conduct operational activities, and does not develop, produce or market products or services jointly with the companies in which it holds an interest.
